Member Agreement
By registering as a member (“you” or “Member”) of the Savvy&Smart™.com website (the “Website”) with Lealta Media, Inc. and its affiliates (“Savvy&Smart™.com”), you hereby agree to be bound by all terms and conditions of this Agreement (the “Agreement”). If you do not agree with the terms and conditions of this Agreement, your only recourse is to not complete the registration process.
This Agreement, together with the Savvy&Smart™.com Terms of Use and Privacy Policy contains the entire terms and conditions that apply to your use of the Savvy&Smart™.com Website and the services available through the Website (the "Services"). This Agreement may be modified by Savvy&Smart™.com, at its sole discretion, at any time. This Agreement supersedes any prior agreements related to the subject matter of this Agreement. The current version of this Agreement applies to your use of the Services.
Registration
We require a registration process in order to set up and activate Member Accounts (“Account”) so that you may choose a member login name ("Login Name") and password, which permits you to use the Savvy&Smart™.com Website and its Services. Your Login Name will be used to identify you on the Savvy&Smart™.com Website. Members may only change their Login Name and password information through the Savvy&Smart™.com Website. You may not have more than one Account or Login Name at any given time during your membership to Savvy&Smart™.com. Additionally, Members may not use more than one email address in connection with that Account. By registering for an Account on the Website, you certify that the email address you have provided during registration is current, accurate, and belongs to you. In the event that Savvy&Smart™.com determines that an email address is outdated, inaccurate or fraudulent in any way, Savvy&Smart™.com shall have, in its sole discretion, the option to suspend or terminate your Account with Savvy&Smart™.com.
As a registered Member of Savvy&Smart™.com, you hereby acknowledge and agree to comply with all terms and conditions of Savvy&Smart™.com, including, but not limited to, offers, promotions, and programs at all times. Additionally, you also hereby agree to provide only accurate and true information to Savvy&Smart™.com at all times.
Guidelines for Use
Savvy&Smart™.com Services are only available for use by individuals who are age 18 or over. The Services may not be used by scripts, machines or automated services without the express written consent of Savvy&Smart™.com.
Savvy&Smart™.com Services may only be used for lawful purposes. Savvy&Smart™.com complies with all applicable local, state, national and international laws, regulations and conventions, including without limitation those related to data privacy, international communications, and exportation of technical or personal data. You may not use the Savvy&Smart™.com Services or Website for any criminal or illegal activities or any activities that might be legally actionable. Member agrees not to engage in any activities intended to defraud or cause harm to Savvy&Smart™.com.
Content License
Savvy&Smart™.com enables Members to post information, comments, videos, notes, messages, blogs and other content ("Content") to the Website. When you post your Content to the Website, you understand and agree that your Content can be viewed and used by other Members who visit the Website.
You represent and warrant that you own or otherwise control all of the rights to your Content and that use of your Content by Savvy&Smart™.com and its affiliates will not infringe upon or violate the rights of any third party. Before you use the Savvy&Smart™.com Services to post any information or Content that is protected by intellectual property laws, you shall have acquired the legal right to do so from the owner or authorized licensee of such information or content.
By registering with Savvy&Smart™.com and posting your Content on the Website, you hereby grant Savvy&Smart™.com a non-exclusive, perpetual, irrevocable, unrestricted, transferable, fully sub-licensable, worldwide, royalty-free license to use, distribute, display, reproduce, perform, modify, adapt, publish, translate and create derivative works from your Content in any form, media or technology, whether now-known or hereafter developed. You also grant Savvy&Smart™.com and its affiliates and sub-licensees the right to use the Login Name that you submit with your Content for purposes of attribution.
Savvy&Smart™.com Property Rights
The layout, design, concept and organization of the Savvy&Smart™.com Website and Services are subject to Savvy&Smart™.com patents, copyrights and other intellectual property rights. All rights are reserved.
You acknowledge and agree that Savvy&Smart™.com owns all right, title and interest in (i) the Services; (ii) the Website; (iii) the technology available on the Services or the Website; and (iv) all copyrights, patents, trademarks and other intellectual property rights therein. Any use of the Savvy&Smart™.com Services, Website, technology, and/or the copyrights, patents, trademarks or other intellectual property rights, other than as described in this Agreement, is not licensed and is strictly prohibited.
You agree that you will obtain the express written permission from Savvy&Smart™.com before you copy, upload, transmit, reproduce, distribute or in any way exploit any Savvy&Smart™.com Services, technology and/or the copyrights, patents, trademarks or the other intellectual property rights, obtained through the Savvy&Smart™.com Website. In addition, you agree not to copy the layout, design, concept and organization of the Website or Services. This Agreement does not constitute a license to use Savvy&Smart™.com trade names, service marks or any other trade insignia. Any use of Savvy&Smart™.com trade names, service marks or any other trade insignia shall be subject to Savvy&Smart™.com prior written consent.
Disclaimers and Limitations of Liability
This Agreement shall be subject to the disclaimers and limitations of liability in the Terms of Use.
Cash Back ;
“Cash Back ;” are the proprietary currency of the Savvy&Smart™.com program.
“Shopping Cash Back ;” are Cash Back ; earned from purchases at any of our participating partner sites and from referring friends to Savvy&Smart™.com.
“Bonus Cash Back ;” are Cash Back ; earned from participating in our community, taking surveys, blogging and posting videos.
As a Savvy&Smart™.com Member in good standing, you are eligible to be awarded Cash Back ; in accordance with this Agreement.
Getting Cash Back ;
Currently, Cash Back ; can be accrued by (i) purchasing goods and/or services from partners of Savvy&Smart™.com (“Program Partners”), (ii) participating in our community, (iii) participating in our promotional offers, and (iv) taking surveys. Savvy&Smart™.com may at any time, in its sole discretion, establish, remove or exclude any means of accruing Cash Back ;. Savvy&Smart™.com reserves the right to make certain awards of Savvy&Smart™.com selectively available to certain Members based on geographic location, program participation, and/or other factors determined at Savvy&Smart™.com’s sole discretion.
All award percentages stated on the Savvy&Smart™.com Website, its Program Partner websites, or any marketing materials, collateral, and advertising distributed for the purposes of promoting the Website and Services, are rebated in the form of Cash Back ;.
Rewards established by Savvy&Smart™.com are subject to change at any time without notice. Inquiries regarding rewards not received must be received by Savvy&Smart™.com within ninety (90) days after the initial purchase.
Individual Cash Back ; have no stated or implied value until such time as such Cash Back ; have been redeemed for any rewards offered through the Website.
Cash Back ; may not be traded, bartered or redeemed for cash unless expressly stated on the Website. Any Cash Back ; transferred, assigned or sold in violation of this Agreement, in addition to exposing the Member to the penalties that may otherwise be associated with such violations, may be confiscated or cancelled. The use of Cash Back ; that have been acquired by purchase, barter, or other conduct in violation of this Agreement may result in confiscation of the Cash Back ;.
Savvy&Smart™.com reserves the right to cancel or disable any Account and expire unredeemed Cash Back ; in those Accounts that are inactive for a period of twelve (12) consecutive months or more. An inactive account is an Account that lacks one of the following: website transaction, participation in email offers, survey completion, and/or profile update or purchases from one of our Program Partners accessed through the Website.
Partners
Savvy&Smart™.com Program Partners are businesses that rebate a portion of your purchases into your Savvy&Smart™.com Account for purchases made through such businesses. Program Partners may charge fees for offers related to the Services.
Savvy&Smart™.com accumulated in a Member's Account as a result of purchases made or services acquired through the Website Program Partners may be reflected in a Member's Account before Savvy&Smart™.com receives payment from such Program Partner.
In the unlikely event that a Program Partner does not make a payment to Savvy&Smart™.com for such purchase, Savvy&Smart™.com reserves the right to reverse any Cash Back ; in a Member's Account. However, in such case, Savvy&Smart™.com shall notify Member as to the cause of such reversal.
Members understand that, in some cases, there may be delay in the crediting of Cash Back ; awarded by Program Partners due to a Program Partner's failure to provide necessary information to Savvy&Smart™.com for such crediting of Cash Back ;. In such event, Savvy&Smart™.com will not be responsible or liable for the delay or failure to credit Cash Back ;. Notwithstanding the foregoing, Savvy&Smart™.com will exercise commercially reasonable efforts to resolve the matter in an expedient way.
Savvy&Smart™.com and its Program Partners also reserve the right to change the amount of Cash Back ; associated with each qualifying purchase at any time, but no such change will affect any Cash Back ; earned prior to such change being stated on the Website or on the Program Partner's website.
Members understand and acknowledge by registering or purchasing from a Program Partner’s website, they may receive promotional materials, mailings or emails from Program Partners. A Member may, however, preclude receipt of any such materials by advising Savvy&Smart™.com in writing of his or her desire to be excluded from any such Program Partner mailings or communications and following the procedures specified by our Program Partners to do so, if any.
Savvy&Smart™.com is not responsible and assumes no liability for any changes or discontinuances of service from Program Partners that may affect offers or the accrual of Cash Back ;.
Transferability of Cash Back ;
Cash Back ; earned in your Account may be transferred at any time to any other Savvy&Smart™.com Member Account in good standing.
Redemption of Cash Back ;
You may redeem your balance of a minimum of twenty-five (25) Cash Back ; for $25.00 credit automatically transferred to your Account. In order to make a redemption from your Account, you must choose the amount to redeem and complete the information required on the Website.
In order to redeem your Cash Back ;, eighty percent (80%) of your Cash Back ; balance must come from shopping rewards (rewards from purchases), with the final twenty percent (20%) from bonus rewards (rewards from actively participating in our program). A maximum of one (1) redemption per day is permitted during the term of this Agreement, so long as Member’s Account is active and in good standing.
Term, Termination
This Agreement shall be effective for as long as you use the Services.
Either you or Savvy&Smart™.com may terminate this Agreement with or without cause, upon thirty (30) days notice to the other party. Savvy&Smart™.com may terminate this Agreement immediately if, based on Savvy&Smart™.com sole judgment, it determines that you have (i) breached this Agreement or the guidelines established for the use of Savvy&Smart™.com Services or Website, (ii) infringed or violated any intellectual property right of Savvy&Smart™.com or (iii) infringed or violated any intellectual property right or privacy or publicity right of a third party.
The termination of this Agreement shall terminate your access to the Services. Neither Savvy&Smart™.com nor any Savvy&Smart™.com Program Partner shall be liable to you or to any third party for termination of the Services for any reason. The termination of this Agreement does not relieve you of your obligation to pay any fees accrued or payable for use of the Services prior to the effective date of termination of this Agreement.
Upon termination of this Agreement, the perpetual license you have granted to Savvy&Smart™.com shall continue. Provisions, which by their nature would be expected to survive termination, shall survive and remain in full force and effect in accordance with their terms.
